Context & Environment

This role will directly report to Deputy Managing Counsel based in Singapore;

• This role will involve working closely with the business teams in the Region and on the Project, and will require a balance between managing risk and meeting commercial expectations; and

• The role will involve leading and managing the legal review of a number of transactions and projects and also ensuring the day-to-day management of legal operations. The individual will need to have strong organisational and time management skills to ensure effective maintenance of the work load.                                                                                                         

Atividades

  • The primary activity will be the drafting and leading negotiations on a wide range of contracts related to utility scale renewables projects (PPAs, supply agreements, BOP, transportation, EPCs, O&Ms, guarantees, letters of intent, MoUs, partnership agreements, shareholders agreements, land agreements, share purchase agreements, finance agreements, etc.) and transaction documents (M&A, JV), managing the legal due diligence and tender submission processes and following-up on projects’ construction and operation;
  • Providing strategic guidance and advice to the business development and project development team to turn opportunities into operating projects;
  • Providing strategic guidance and advice to the asset management teams to ensure smooth operation of projects in line with law, contracts and internal policies;
  • Anticipate the risks and legal needs of operations; monitor, alert, advise and propose appropriate solutions;
  • Instruction and relationship management with external counsel;
  • Conduct legal studies and provide legal memorandum;
  • Assess regulatory and contractual risks, propose innovative solutions to mitigate such risks;
  • Analyse and interpret new regulations within the Region and contribute to appropriate monitoring and alerts;
  • Leading and providing guidance to the rest of the legal team in general corporate and legal activities of the group;
  • Ensure implementation of group initiatives including adherence to group policies relating to HSE, ABC, sanctions, sustainability;
  • Supervision of the corporate housekeeping of the subsidiaries and JVs incorporated in the Region (shareholders / board of directors resolutions, delegations and PoAs, share transfers, shareholder loans, etc.); and
  • Ensure compliance of business operations with relevant laws and regulations.

Perfil do Candidato

  • At least 6-10 PQE with experience of the jurisdictions of the Region and in the energy sector (with, ideally, part of this experience in a law firm);
  • Experience required in: EPC, construction, project development and financing of energy and infrastructure projects;
  • Qualified in Singapore or other common law jurisdictions;
  • Strong drafting skills (in English) with excellent attention to detail;
  • Assertiveness, responsiveness, flexibility (must be able to adapt quickly to the context and to complex and varied situations), autonomy and sense of initiative;
  • Strong organization skills and ability to manage multiple projects simultaneously;
  • Negotiation skills with private investors (prospective partners, acquirers, lenders), service providers and public authorities;
  • Ability to working in teams/project mode with the operational team (business development, technical and operations, structured finance, etc.) as well as external counsel and other lawyers in the group;
  • Ability to deliver high-quality work under tight deadlines; and
  • Strong interpersonal skills in the context of a multicultural environment.
