Activities
Drafting, reviewing and negotiating a wide range of complex and simple commercial contracts and agreements including with clients, vendors, partners, and other stakeholders, and MOUs, NDAs, heads of agreements, incorporations
Establish and maintain contract management processes and standards.
Manage corporate governance matters, including board meetings, annual reports, and compliance with corporate bylaws.
Providing advice in formulating and maintaining contract models, advise on tenders, and support internal departments in monitoring procedures related to contracts.
Providing commercially oriented legal advice.
Providing a broad range of general corporate support including all related commercial transactions, governance, litigation, compliance, Human Resources.
Identifying and analyzing legal issues to deliver timely and fit-for-risk legal advice on matters pertaining to operations, commercial opportunities, compliance, and regulatory matters.
Develop and implement the organization's legal strategy in alignment with its business goals and objectives.
Provide expert legal guidance to the executive team and the board of directors.
Oversee and manage all legal disputes, including litigation, arbitration, and alternative dispute resolution.
Protect the organization's intellectual property rights, including trademarks, copyrights, and patents.
Ensure proper documentation and registration of intellectual property assets.
Maintain and update corporate records and documentation.
Identify and assess legal risks associated with the organization's activities and develop strategies to mitigate them.
Develop and implement risk management policies and procedures.
Build and maintain relationships with relevant government authorities, regulatory bodies, and industry associations.
Advocate for the organization's interests when necessary.
Providing training across business line on Legal, Compliance, Regulatory issues and also on Policies & Procedures including Group Policies and Procedures.
Advise on regulatory issues and compliance (including export controls and economic sanctions) and support the Contracts and Procurement team in developing and maintaining associated policies and procedures.
Develop and update internal policies, procedures, and compliance programs to ensure adherence to legal and ethical standards
Work closely with external or third-party law firms when needed, including management of litigation budget.
Coordinating with local and regional legal teams on all legal matters, and cooperation with other members of the legal department at the head office.
Candidate Profile
Education: Bachelor’s degree in law.
Experience: a minimum of 5 years of experience in litigation and contract drafting
Skills: In-depth knowledge of corporate law, contract law, employment law, and other relevant legal areas administrative law and procedures. Ability to analyse complex legal issues, identify risks, and provide strategic legal advice. Flexibility to adapt to changing legal environments, new regulations, and emerging legal issues. Ability to work effectively with internal teams, external legal partners, and regulatory authorities to achieve legal objectives. Commitment to upholding ethical standards and maintaining confidentiality in legal matters. Understanding of the company's industry, business operations, and strategic objectives to provide legal advice aligned with business goals.
Strong problem-solving skills to address legal challenges and contribute to business solutions.
Understanding of regulatory compliance requirements and the ability to ensure company practices align with legal standards.
Proficiency in negotiation and dispute resolution to represent the company's interests in legal negotiations and settlements.
