Context & Environment

GGIP is a first-of-its-kind pioneering multi-energy project representing 27 B$ investment over 30 years for TotalEnergies and its partners This project involves; 1.Oil development project (‘AGUP’)to increase current Ratawi field to 210 kbpd .(2) Collection and treatment of 600 MMscf/d of associated gas (‘GMP’) that would otherwise flare, reducing the flaring level in Basra region and provide additional 480 MMscf/d of gas to the national grid and 3,600 tons per day of LPG to supply the Iraqi domestic market. (3) Development of a 1 GW solar power plant (‘SPP’), one of the largest in the Middle East, increasing power capacity in Basra region by more than 30%. (4) Construction of sea water treatment plant of 5 million of water barrels per day (‘CSSP’) to increase South Iraq crude oil production by up to 1 million barrels oil per day and freeing the use of freshwater from rivers and aquifers to preserve irrigation sources for agricultural needs.

Activities

Main Responsibilities

Activities of the Senior Joint Venture (JV) Coordinator (in accordance with the context, the organization in place, and the respective roles of other JV

Coordinators and the JV Coordination Manager) include, under the JV Coordination Manager’s or Senior JV Lead’s guidance, but are not limited

to:

Governance, committees & decision support :

- Act as the JV focal point for formal communications with Partners and Authorities (entry/exit point).

- Represent TotalEnergies EP Ratawi Hub in relevant JV committees within the approved Delegation of Authority.

- Establish and maintain JV calendars as per the Joint Operating Agreement (JOA) and the patrimonial contracts with the State (including Development & Production Contract (DPC)).

- Prepare and organize relevant JV committees (sub-committees and decision committees).

- Prepare agendas and ensure timely issuance to Partners/Authorities.

- Prepare pre-read packages and ensure circulation within required timelines.

Contractual compliance & documentation :

- Ensure good knowledge of JV agreements and key contracts by relevant affiliate personnel and promote strict adherence to contractual

provisions, including timely execution of contractual obligations.

- Monitor compliance by all parties with JV agreements/contracts; identify deviations, support remedial actions, and escalate as needed.

- Ensure Operator exercises its rights and obligations as per the JOA and the State contracts (including DPC).

- Ensure meetings are documented and decisions formally recorded with auditable evidence of how decisions were taken.

- Maintain an auditable record of internal decision-making leading to JV recommendations/decisions, especially for tendering and contract

awards.

Procurement governance GGIP (Gas Growth Integrated Project)  PP) :

- Ensure compliance with the GGIP PP Procurement Procedure as approved by the Joint Management Committee.

- Coordinate required MCT (cost estimation) inputs and Bid Evaluation Committee processes (with Basra Oil Company (BOC) and South Gas Company (SGC)), ensuring governance

steps and traceability are respected.

- Ensure the proper preparation and coordination of JV audits, by Partners or the State, as well as the follow-up and settlement of any

exceptions (monetary and procedural) that are made

- Prepare committee recommendations/decisions, especially those related to Work Programs & Budgets, Annual Gas Plan, and major

approvals requiring prior internal TotalEnergies decision-making.

Finance & audit coordination :

- Coordinate with Finance to ensure proper JV finance governance and monitoring (JV accounts/processes), and ensure readiness for audit

requirements.

- Coordinate and support JV audits by Partners and/or the State, including follow-up and closure of exceptions (monetary and procedural).

Stakeholder management & reporting :

- Maintain continuous working-level contact with JV Partners and gather pertinent local information.

- Maintain continuous contact with local supervisory authorities responsible for contractual obligations.

- Ensure suitable JV Management System is in place; identify gaps and implement practical improvements (“fill the gap”).

- Maintain an auditable document management system (hard copy and electronic) for JV records (agreements, amendments,

correspondence, reports, minutes, registers, etc.).

- Ensure communication and coordination of JV matters across affiliate functions and project teams; ensure required JV reporting to

TotalEnergies HQ.

Specific C committees:

- For CSSP (Common Sea Water Supply Project) and Solar, monitor decisions taken by dedicated committees (CSSP Technical Advisory Committee and Solar Joint Coordination

Committee) and ensure follow-up.

Candidate Profile

Qualifications & Experience

  • Bachelors degree in Business, Engineering or related field
  • Minimum 10+ years oil & gas industry experience, with Joint Venture (JV) management/governance exposure and business sense.
  • Good knowledge of technical & business processes and methods; strong governance/documentation mindset.
  •  Ability to develop strong working relationships across affiliate departments, project teams, partners, and authorities.
  • Ability to influence, negotiate, listen, convince, coordinate, facilitate; proactive behaviour.
  • Ability to work in multidisciplinary teams.
  •  Languages: Arabic, fluent English; French is a plus.

Job Dimension

The Senior JV Coordinator is responsible, under the guidance of the Joint Venture(JV) Coordination Manager, for implementing Joint Venture coordination

processes on behalf of the affiliate across the GGIP assets/projects: AGUP, EGEP, GMP, CSSP, and the Solar Project.

This is the first time in the Group history that a new affiliate has to simultaneously launch five (5) major projects, attracting strong attention

from HQ management and requiring full engagement from the Senior JV Coordinator.

GGIP is governed by the Development and Production Contract (DPC) with the State of Iraq, involving two authorities: Basra Oil Company (BOC)

and South Gas Company (SGC). The Contractor group includes, in addition to the affiliate as Operator (45%), BOC (30%) and QatarEnergy (25%).

The job holder will engage with authorities (BOC, SGC, and the Ministry of Oil as needed) and partners, in coordination with all affiliate entities,

particularly for the preparation and follow-up of Operating Committee meetings (with partners) and Joint Management Committee (JMC)

meetings (with host authorities), including relevant sub-committees .

The job holder coordinates internal and external stakeholders for preparation of required reporting and information to authorities, partners,

and TotalEnergies HQ. This engagement supports a yearly budget of approximately USD 3 billion per year over the coming five years.

The job holder shall pay specific attention to:

• the interdependence between the five projects,

• the need to coordinate with third-party oilfields for raw gas supply, and

• the stringent schedule of key milestones to deliver technical and financial targets.
