Context & Environment

To contribute to TotalEnergies group (the Company)’s ambitions (35 GW of a renewable generation capacity in 2025), TotalEnergies Renewables has positioned itself in the fields of solar and wind power projects in order to become the leader in responsible energy produced, distributed and consumed around the world. In that context, TotalEnergies Renewables develops renewable power projects involving, as relevant, joint venture, responses to tenders, M&A processes, around the world. 

Distributed Generation (DG) is an active and dynamic Business Unit at TotalEnergies Renewables, which purpose is to develop solar photovoltaic (PV) power projects in favor of industrial and commercial (I&C) customers worldwide. 

DG currently has (with hubs in Asia, the Middle East and the U.S. and through its JV in China) more than 500MW of projects in operation. DG has strong ambitions to develop across the MEA region (GCC and Africa) and is seeking a Legal Counsel to join its team, based in Dubai.

 

Activities

Legal support to the renewable power projects developed by TotalEnergies Renewables DG

  • Drafting and negotiation of the related contracts and documents (pre-contracts, power purchase agreement, construction contracts, land rights agreements, operation and maintenance contracts, guarantees, shareholder agreements, joint venture agreements, share purchase agreements, bid documentation, etc.) 
  • Monitoring legal due diligence and tender submission processes (including as part of M&A transactions) and following-up on projects’ construction and operation
  • Conducts legal studies and monitoring regulatory risks
  • Manages and coordinates corporate matters (incorporation of companies, corporate housekeeping, shareholders / board of directors resolutions, delegations of authority, share transfers, shareholder loans, etc.)
  • Interacts with the internal and external parties associated with the operations and transactions
  • Support to internal corporate approval process (internal committees
  • Manages external lawyers and monitors legal fees

 

Legal tools and policies :  

  • Ensures compliance with TotalEnergies SE corporate and legal policies;
  • Liaises and develops cooperation with the business line (GRP) and TotalEnergies SE;
  • Contributes to the legal reporting;
  • Contributes to the development of training and guidelines to operational teams;
  • Contributes to the development of appropriate tools for supporting the activity (templates, guidelines, enhancement of know-how, adequate document management systems, etc.), to the development of adequate document management systems and to the development of trainings and guidelines to operational teams;
  • Manages and controls the hiring, use, quality and cost of external legal counsels;
  • Implements a culture of compliance with laws and integrity;
  • Contributes to the corporate housekeeping of the legal entities pertaining to its perimeter.

    

Litigations and claims:

  • Provide legal support for litigations and/or claim management in relation to projects

Candidate Profile

The applicant is expected to have the following competencies and experience: 

  • Postgraduate / master degree in business law;
  • Language skills required: English as working language, French strongly recommended;
  • Required experience: 4/7 years of experience as transactional counsel in energy or industry (law firm or industrial company) – substantial experience in a law firm is a plus;
  • Negotiation skills; capacity to focus on key issues; 
  • Autonomy in a demanding environment;
  • Drafting skills;
  • Rigor and capacity to synthetize;
  • Team spirit and strong interpersonal skills, in the context of a multicultural environment;
  • Ability to adopt a « service partner » approach to support the business.
