* Legal support to (i) TEGPA’s LNG, power and dry bulk trading teams in the drafting and negotiating of the contractual documentation required for short and medium term supply and sales contracts (e.g. NDAs, HOAs, tender documentation, master agreements and associated confirmations, term sale and purchase contracts), (ii) the long-term commercial teams responsible for the negotiation of long term supply and sales contracts; and (iii) the contract management teams responsible for the management and administration of TEGPA’s contractual portfolio.
* Legal support to the Singapore and Paris based business development teams in the drafting and negotiating of pre-project agreements (e.g. NDAs, HOAs, MOUs) and project agreements (e.g. joint venture agreements, shareholders’ agreements, power purchase agreements, gas sales agreements, service, logistics and secondment agreements) required for business development tasks being undertaken in the region.
* Legal support for the Adani TotalEnergies LNG Singapore joint venture (ATLS) activities.
* Conduct associated due diligence activities, regulatory reviews and coordinate with specialist teams inside TotalEnergies (e.g. competition law, regulatory, compliance, sanctions, HSE, M&A, finance) as well as external counsel as required.
* Legal support for TEGPA’s other teams as needed (e.g. for Finance in relation to credit and trade finance matters).
* Provide broad legal support to ensure proper administration of TEGPA’s, TEGPAu’s and ATLS’s corporate governance functions and their compliance with licensing and other regulatory requirements. Manage (with an external service provider) corporate resolutions and other corporate secretarial matters for TEGPA, TEGPAu and ATLS. Assist in the development of systems, policies and guides on legal, governance and regulatory issues.
* Maintain TEGPA’s contract database and its contract data in the internal BOOK trade management system.
* Work closely with the management of TEGPA (and of the three Business Units TEGPA Legal supports, and TotalEnergies) and other stakeholder teams to effectively co-ordinate projects and ensure the provision of constructive and relevant legal input to support the business strategy.
* Monitor and ensure other lawyers and TEGPA’s business and other support functions are aware of legal issues relevant to their area of expertise and proactively work with them to manage legal risks. Generally contribute to the sharing of knowledge and expertise within TEGPA, the Gas, Renewables & Power segment and TotalEnergies.
* Provide legal support for any disputes with commercial counterparts, and implement legal strategies to achieve their optimal resolution.
* Identify and appoint external counsel as appropriate and manage them (and their costs) effectively.
* Participate in and contribute to the activities of internal legal workgroups in Singapore and TotalEnergies.
* 5 to 8+ years post-qualification experience as a private practice or in-house lawyer in a common law jurisdiction or an equivalent European qualification.
* Experience to include substantial knowledge of commercial law, having conducted multi-faceted commercial negotiations and having worked on business development projects (preferably in the energy sector).
* Knowledge of the energy business (preferably the LNG and/or the gas & power sector) and the commercial and technical issues which can affect legal analysis. Knowledge of the commodity trading business is a significant plus.
* Excellent legal drafting skills and having achieved mastery in the speaking, reading and writing of English. Fluency in other languages (especially French and Asian languages) is a significant plus.
* Ability to work quickly and highly effectively in a fast-paced environment, both autonomously as well as part of a team with other lawyers, support and business personnel.
* Ability to communicate effectively with all levels of employees in a cross-cultural environment including very senior managers and to motivate and organise other individuals involved in the projects and contracts.
* Ability to work over flexible hours, in several time zones and to travel.
